whereever that may be. Yes or No on the Bylaws amendments? <<

- I like Lyn, cannot make the 5/9/98 board meeting. ... I respectfully submit my absentee vote on the following
matters.
-
- Concerning funding: Basically, any funding recipient must sign a binding agreement to give the nonprofit any
patent, copyright, or tradmark they develop with our monies or as a result of our monies, and any project
funded must have some sort of physical place of business known to the public, even if this is only the
nonprofit headquarters, whereever that may eventually be. Yes or No on the Bylaws amendments?
-
- I vote yes to this amendment.
-
- If any other amendments should arise during the 5/9/98 meeting I hereby give to Gerard or Nancy my proxy.
I believe in their ability and I know that they will vote for the good of the organization. ...

-
- ... I know this is an emergency Board meeting, but how important is it that I attend? If I understand the issues
correctly - and I'm not sure that I understand all of it - the problem is that a) we can't, or shouldn't accept
grants under our non-profit status until a binding agreement has been signed by all of us, stating that if
anyone comes up with a potentially money-making idea, that we won't run off with it and claim it for
ourselves, rather than giving it to the corporation under whose name the grant to develop such an idea was
accepted; (rather convoluted); and b) that without a physical office somewhere where the public can see us
working on issues and solutions, and tour an office, so to speak, this whole thing is open to scam and fraud.
I'm not sure how we would get around that one. And actually, I would like to be present to discuss all of
this; and I hope I have got the issues correctly set in my own mind. ...

- Yes, I approve of the changes to the bylaws that you suggest.
